Evolution Petroleum prices stock offering at $3.25 per share

Evolution Petroleum Corporation (NYSE American: EPM) priced a public offering of 3,700,000 shares of common stock at $3.25 per share on Aug. 18, 2026, according to a press release from the company.



The offering is expected to generate gross proceeds of approximately $12,025,000 before underwriting discounts, commissions, and estimated offering expenses. The company has granted underwriters a 30-day option to purchase up to an additional 555,000 shares at the same offering price, less underwriting discounts and commissions.



The closing of the offering is expected to occur on Aug. 20, 2026, subject to customary closing conditions.



Evolution Petroleum stated it intends to use the net proceeds to fund a portion of a previously announced acquisition of oil and natural gas mineral and royalty interests in the Permian Basin. The remaining acquisition costs are expected to be covered through borrowings under its senior secured reserve-based credit facility and cash on hand. Proceeds may also be used for general corporate purposes, including the repayment of a portion of outstanding borrowings under the credit facility.



The company noted the offering is not conditioned on the completion of the acquisition and offered no assurance that the acquisition would be consummated.



Roth Capital Partners is acting as sole book-running manager for the offering, with Northland Capital Markets serving as co-manager and A.G.P./Alliance Global Partners acting as financial advisor.
