CleanTech Vanadium plans $1M private placement at $0.10 per unit

CleanTech Vanadium Mining Corp. (TSXV: CTV) (OTCQB: CTVFF) announced a non-brokered private placement to raise up to $1,000,000 through the sale of up to 10,000,000 units priced at $0.10 each.



Each unit consists of one common share and one transferable warrant, which entitles the holder to purchase one additional share at $0.15 for three years from the date of issuance.



Company insiders are expected to subscribe to 1.5 million units in the offering. The insider participation is classified as a related-party transaction under Multilateral Instrument 61-101. The company said it intends to rely on exemptions from minority shareholder approval and formal valuation requirements, as the value of units acquired by insiders is not expected to exceed 25% of the company's market capitalization. A material change report will be filed in connection with the transaction.



The offering remains subject to approval from the TSX Venture Exchange, among other conditions. Securities issued will be subject to a regulatory hold period of four months and one day from the date of issuance. The company may pay finders' fees to eligible finders in accordance with TSX Venture Exchange policies.



Net proceeds are intended for general corporate purposes.



CleanTech also announced the closing of a previously announced private placement, originally disclosed on June 16, July 6, and July 21, 2026, with aggregate gross proceeds of $433,033.37.



The Vancouver-based company holds a 100% interest in the Gibellini Vanadium Mine Project in Nevada and holds an option to acquire more than 17,550 acres of mineral rights in the Illinois-Kentucky Fluorspar District.
