Cerrado Gold closes C$10M private placement with Eric Sprott

Cerrado Gold Inc. (TSX.V: CERT)(OTCQX: CRDOF) has closed a non-brokered private placement with investor Eric Sprott, raising C$10 million in gross proceeds, according to a company statement.



The placement involved the issuance of 4,000,000 units at C$2.50 per unit to an entity owned and controlled by Sprott. Each unit consists of one common share and one-half of one common share purchase warrant. Each whole warrant allows the holder to acquire one common share at C$3.35 per share for 24 months from the closing date.



The transaction remains subject to final acceptance by the TSX Venture Exchange. All securities issued are subject to a statutory hold period of four months and one day from the date of issuance under Canadian securities laws and TSX Venture Exchange policies.



Cerrado said it intends to use the net proceeds for working capital and general corporate purposes.



The company also issued a correction to a previously announced investor services agreement dated August 18, 2026. The service provider was incorrectly identified as ENGAGE 360; the correct name is Investor Events Inc. All other terms of the agreement remain unchanged and are pending TSX Venture Exchange approval.
