Catalyst Acquisition Corp. raises $200M in Nasdaq IPO
Catalyst Acquisition Corp. (NASDAQ: CATLU) closed its initial public offering of 20,000,000 units at $10.00 per unit, raising $200 million, according to a press release from the blank check company.
Each unit consists of one Class A ordinary share and one right, with each right entitling the holder to receive one-seventh of one Class A ordinary share upon completion of a business combination. The company deposited $10.00 per unit into a trust account, with Continental Stock Transfer & Trust serving as trustee.
The units began trading on the Nasdaq Stock Market on July 28, 2026, under the ticker symbol "CATLU." Once the underlying securities begin separate trading, the Class A ordinary shares and rights are expected to trade under the symbols "CATL" and "CATLR," respectively.
Santander served as the sole book-running manager. The company granted the underwriter a 45-day option to purchase up to an additional 3,000,000 units at the IPO price, less underwriting discounts, to cover any over-allotments.
The Securities and Exchange Commission declared the registration statement effective on July 27, 2026.
Catalyst Acquisition Corp. is incorporated as a Cayman Islands exempted company and intends to focus its acquisition search on traditional and digital media sectors, including video game companies, mobile gaming, publishers, studios, and media platforms. The company is led by co-Chief Executive Officers Steven P. Beeks and Nicolas A. van Dyk, and Chief Financial Officer Craig A. Elson.
