Buffalo Potash upsizes private placement to C$7.5 million minimum

Buffalo Potash Corporation (TSXV: BUFF) (OTCQB: BLPTF) announced it increased the size of its previously announced non-brokered private placement to a minimum of C$7.5 million in aggregate gross proceeds, up from the original C$5 million minimum.



The company cited strong investor demand for the upsize announced June 9, 2026, one day after the original offering was disclosed. The pricing and terms remain unchanged from the initial announcement.



The offering includes Hard Dollar Units priced at C$0.45 per unit, each consisting of one common share and one-half warrant. Flow-through shares will be priced at C$0.52 per share, while Charity Flow-through Units are priced at C$0.558 per unit. Each full warrant allows the holder to purchase one common share at C$0.60 for 24 months from issuance.



Buffalo Potash plans to use proceeds from flow-through shares and Charity Flow-through Units to fund downhole infrastructure buildout of the Initial Production Module at its Disley Project in Saskatchewan. Net proceeds from Hard Dollar Units will support general working capital and corporate purposes.



The initial closing is expected around June 30, 2026, subject to TSX Venture Exchange approval. The offering may close in multiple tranches, with all securities subject to a four-month and one-day statutory hold period.



The Saskatchewan-based company is developing potash production capabilities through its patented Horizontal Line-Drive technology at the Disley Project. The company may pay finder's fees and allow insider participation in the offering, subject to regulatory requirements.
