BioRestorative prices $5 million public offering at $0.35 per share

BioRestorative Therapies Inc. (NASDAQ: BRTX) announced the pricing of a public offering of 14,285,715 shares of common stock and warrants at $0.35 per share and accompanying warrant. The offering is expected to generate approximately $5.0 million in gross proceeds before fees and expenses.
The warrants carry an exercise price of $0.35 per share, are exercisable immediately upon issuance, and will expire five years from the date of issuance. The offering is scheduled to close on or about February 13, 2026, subject to customary closing conditions.
Rodman & Renshaw LLC serves as the exclusive placement agent for the offering. The Securities and Exchange Commission declared the registration statement on Form S-1 effective on February 11, 2026.
The company plans to use net proceeds for clinical trials of BRTX-100, pre-clinical research and development for its ThermoStem Program, development of its commercial biocosmeceuticals platform, and general corporate purposes and working capital.
BioRestorative develops therapeutic products using cell and tissue protocols involving adult stem cells. The company operates three main programs: a disc/spine program featuring BRTX-100 for treating lumbosacral disc disorders, a metabolic program called ThermoStem targeting obesity and metabolic disorders, and a commercial biocosmeceuticals platform.
The Melville, New York-based company has commenced a Phase 2 clinical trial using BRTX-100 to treat chronic lower back pain from degenerative disc disease and has received FDA Investigational New Drug clearance to evaluate BRTX-100 for chronic cervical discogenic pain.
