BioRestorative closes $5 million public offering at $0.35 per share

BioRestorative Therapies Inc. (NASDAQ: BRTX) closed a public offering of 14,285,715 shares of common stock and warrants, raising approximately $5.0 million in gross proceeds before fees and expenses.
The company issued shares at a combined public offering price of $0.35 per share and accompanying warrants. The warrants carry an exercise price of $0.35 per share, are immediately exercisable and will expire five years from the date of issuance.
Rodman & Renshaw LLC served as the exclusive placement agent for the offering. The Securities and Exchange Commission declared the registration statement effective on February 11, 2026.
BioRestorative stated it intends to use the net proceeds for clinical trials of BRTX-100, pre-clinical research and development of its ThermoStem Program, development of its commercial biocosmeceuticals platform and for general corporate purposes and working capital.
The Melville, New York-based company develops stem cell-based therapies and products. Its lead clinical program involves BRTX-100, a cell therapy candidate for treating disc and spine conditions using cultured mesenchymal stem cells from patients' bone marrow. The company has commenced a Phase 2 clinical trial for chronic lower back pain from degenerative disc disease.
BioRestorative also operates programs targeting metabolic disorders through brown adipose-derived stem cells and maintains a commercial biocosmeceutical platform producing cell-based products for aesthetic applications.
