Avantor (AVTR) Prices Upsized Secondary Offering at $25.25/Sh

Avantor, Inc. (NYSE: AVTR) today announced the pricing of the previously announced underwritten secondary offering by certain of its stockholders (the "Selling Stockholders"), including an affiliate of New Mountain Capital, LLC, of 71,569,765 shares of common stock of the Company pursuant to a registration statement filed by the Company with the U.S. Securities and Exchange Commission (the "SEC"), at the public offering price of $25.25 per share. The size of the offering reflects an increase from the 71,339,001 shares of common stock originally proposed to be sold.

The Selling Stockholders have granted the underwriters a 30-day option to purchase up to an additional 7,156,975 shares of common stock on the same terms and conditions. No shares are being sold by the Company. The Selling Stockholders will receive all of the proceeds from this offering. The offering is expected to close on November 10, 2020, subject to customary closing conditions.

Goldman Sachs & Co. LLC and J.P. Morgan Securities LLC are serving as the joint book-running managers and as representatives of the underwriters for the offering. Guggenheim Securities is acting as co-manager for the offering.

A registration statement relating to these securities has been filed with the SEC and has become effective.
