Atrium Therapeutics raises $50M in private placement

Atrium Therapeutics, Inc. (Nasdaq: RNA), a biopharmaceutical company focused on RNA therapeutics for cardiac conditions, announced a $50 million private placement with a group of institutional investors.



The financing includes 5,170,384 shares of common stock priced at $7.93 per share and pre-funded warrants to purchase up to 1,134,930 shares at $7.929 per warrant. The private placement was priced at-the-market under Nasdaq rules and was expected to close on or about Oct. 9, 2026, subject to customary closing conditions.



Participating investors include Sirenia Capital Management LP, Aberdeen Investments, Montanova, Sessa Capital, Casdin Capital, and a life sciences-focused institutional investor, among others.



The company said it intends to use net proceeds, combined with existing cash and investments, to fund development of its two lead product candidates, other research programs, and general corporate purposes. Atrium estimates the combined funds will support operations through 2028.



Leerink Partners acted as lead placement agent. Cantor, Barclays, and Wells Fargo Securities also served as placement agents.



The company has agreed to file a registration statement with the Securities and Exchange Commission to register the resale of shares issued in the placement.
