Lexaria Bioscience raises $5.9M through warrant exercise

Lexaria Bioscience Corp. (NASDAQ: LEXX)(NASDAQ: LEXXW) has entered into definitive agreements for the immediate exercise of certain outstanding warrants, expected to generate approximately $5.9 million in gross proceeds before placement agent fees and other expenses.

The transaction involves the exercise of warrants to purchase an aggregate of 453,969 shares of common stock at a reduced exercise price of $12.92 per share. The warrants were originally issued on four separate dates between February 2024 and December 2025, with original exercise prices ranging from $17.85 to $45.90 per share. The transaction is expected to close on or about September 9, 2026, subject to customary closing conditions.

In exchange for the immediate cash exercise, Lexaria will issue new unregistered Series A and Series B warrants, each to purchase up to 453,969 shares of common stock at an exercise price of $12.67 per share. The Series A Warrants expire five years from the effective date of a planned resale registration statement, while the Series B Warrants expire after eighteen months.

H.C. Wainwright & Co. is acting as exclusive placement agent for the transaction.

The company stated it intends to use net proceeds for working capital and general corporate purposes. CEO Rich Christopher noted in a statement that the proceeds, combined with a $2.6 million tax rebate recently received from the Australian Tax Office, may be used to fund operations and research and development programs in 2027.

The new warrants are being offered in a private placement and have not been registered under the Securities Act of 1933. Lexaria said it plans to file a resale registration statement with the Securities and Exchange Commission covering shares issuable upon exercise of the new warrants.
