Diginex shareholders approve Resulticks acquisition deal
Diginex Limited (NASDAQ: DGNX) announced that its shareholders approved all proposals at an Extraordinary General Meeting held Oct. 8, 2026, related to the company's planned acquisition of Resulticks Global Companies Pte. Limited.
Approximately 98.8% of votes cast at the meeting were in favor of the transaction. Shareholders approved the Amended and Restated Sale and Purchase Agreement, the issuance of 600,000,000 new Diginex ordinary shares to Resulticks shareholders as consideration, a ten-for-one share consolidation, an increase in authorized share capital, and amendments to the company's memorandum and articles of association.
The transaction now awaits Nasdaq approval of the combined company's initial listing application and the satisfaction of remaining closing conditions, including required regulatory and third-party consents and previously announced funding conditions. Diginex cautioned that there is no assurance Nasdaq will approve the listing application or that the transaction will be completed.
Resulticks, headquartered in Singapore, reported revenue of $150 million for FY2025, as announced Aug. 14, 2026. The company provides AI-powered customer engagement solutions to enterprise clients across North America, Asia, and the Middle East.
Diginex is a London-based provider of ESG, sustainability, and compliance solutions. The two companies entered a commercial reseller agreement in February 2026, following Diginex's initial announcement of the intended combination in June 2025.
Upon completion, Redickaa Subrammanian, co-founder and CEO of Resulticks, is expected to become CEO of the combined company. Miles Pelham will step down as chairman, and the board will be reconstituted with directors designated by Resulticks shareholders. The share consolidation will take effect at closing, and Diginex ordinary shares continue to trade on Nasdaq under the symbol "DGNX" in the meantime.
