Corebridge and Equitable stockholders approve merger

Stockholders of Corebridge Financial (NYSE: CRBG) and Equitable Holdings (NYSE: EQH) voted to approve a merger between the two companies at special meetings held on the same day, according to a joint statement from both companies.

Preliminary vote counts showed approximately 99.96% of Corebridge votes cast and 97.24% of Equitable votes cast were in favor of the merger, representing approximately 82.14% and 85.84% of each company's outstanding shares, respectively. Final results are subject to certification by independent inspectors of election and will be filed with the U.S. Securities and Exchange Commission on Forms 8-K.

Marc Costantini, currently President and Chief Executive Officer of Corebridge, is set to serve as President and Chief Executive Officer of the combined company. Mark Pearson, currently President and Chief Executive Officer of Equitable, will serve as Executive Chair of the combined company.

The transaction remains subject to regulatory approval and other customary closing conditions. The merger is expected to close by year-end 2026.
