Agroz Inc. renames shares, adopts dual-class structure
Agroz Inc. (Nasdaq: AGRZ), an agricultural technology company operating indoor vertical farms, announced that its publicly traded shares have been renamed from "Ordinary Shares" to "Class A Ordinary Shares," effective following shareholder approval at an Extraordinary General Meeting held on May 22, 2026.
The change is formalized in the company's Second Amended and Restated Memorandum and Articles of Association, which also established a dual-class share structure and expanded the company's authorized share capital.
Under the new structure, the authorized share capital consists of 1,000,000,000 Class A Ordinary Shares, 5,000,000 Class B Ordinary Shares, and 15,000,000 Redeemable Convertible Preference Shares. The increase was achieved through the re-designation of 100,000,000 existing Ordinary Shares as Class A Ordinary Shares, the creation of 900,000,000 additional Class A Ordinary Shares, and the creation of 5,000,000 Class B Ordinary Shares.
Shareholders voted in favor of the amended articles at the May 2026 meeting. The announcement was made July 17, 2026, based on a company press release.
