Trian proposes $7.35 a share to take Wendy's private

Investment funds managed by Trian Fund Management, L.P., along with Flynn Group LP, BlueFive Capital and Sixth Street Partners, submitted a non-binding cash proposal on Oct. 28, 2026, to acquire all shares of The Wendy's Company (NASDAQ: WEN) not already owned by the group for $7.35 per share.

The proposal letter described the offer as an approximate 20% premium to Wendy's Oct. 27 closing price of $6.14. As of Oct. 27, the Trian filing persons beneficially owned approximately 16.25% of Wendy's common stock, according to an amended Schedule 13D. The letter states the transaction would not require new debt and that the group expects a special committee of independent directors to consider it.

"We believe private ownership is the better path and provides the patient, long-duration capital needed to restore the business and the franchise system to a position of strength," wrote Nelson Peltz, CEO and founding partner of Trian, and Greg Flynn, chairman and CEO of Flynn Group LP, in the proposal letter.

Peltz has served as Chairman Emeritus of Wendy's since September 2024. Earlier in the same week, on Oct. 26, 2026, Peltz was elected a director of MSG Rangers Corp. (NYSE: MSGR), a newly listed company that includes the New York Rangers hockey franchise, distributed by MSG Knickerbockers Corp. as a spin-off at one share for every two shares held on the Oct. 20 record date.

Trian's most recent Form 13F, filed Aug. 12, 2026, for the period ended June 30, 2026, reported holdings valued at approximately $4.23 billion across eight issuers, with GE Aerospace (NYSE: GE) as the largest position at 4,030,765 shares. Wendy's was also among the disclosed holdings.
