TNL Mediagene (NASDAQ: TNMG) announced the completion of a $6.25 million strategic equity investment from Vector Advisory Partners LLC, with the transaction closing on October 30, 2026, following execution of a Securities Purchase Agreement on October 19, 2026.
Vector paid $1.5 million upon signing and $4.75 million at closing, with a portion of the closing payment used to retire outstanding convertible notes and cover transaction expenses. The remaining proceeds will be held as permanent equity and working capital, including an operating-transition reserve of at least $750,000. Up to $800,000 may be designated as a discretionary issuer-repurchase reserve, subject to board approval and Nasdaq requirements.
At closing, TNL Mediagene issued 938,257 Series A Convertible Preferred Shares for $1,561,719.35 and 2,816,647 Series B Convertible Preferred Shares for $4,688,280.65, each priced at $1.66449 per share. The preferred shares carry a 1.0x non-participating liquidation preference with no mandatory redemption or cash dividend obligations.
Before required shareholder, Nasdaq, and regulatory approvals are obtained, the Series A shares represent approximately 19.99% of fully diluted ordinary shares on an as-converted basis. The Series B shares are not convertible until those approvals are secured. If all approvals are received, the preferred shares are expected to represent approximately 80% of fully diluted ordinary shares, resulting in a change of control.
In connection with the closing, the company's board appointed Shing Hei Lee, Vector's designee, as a director. Lee has more than eight years of experience in Hong Kong capital markets and has served as a representative of Mage Securities Limited since February 2023. He previously worked in the equity capital markets department of Head & Shoulders Securities Limited, where he executed more than 50 capital markets transactions. Lee holds a Master of Arts in Economics with Finance from the University of Edinburgh. Following his appointment, the board consists of five directors.
The preferred shares were issued in a private placement exempt from registration under the Securities Act of 1933. The information above is based on a company press release.
