Snowflake director resigns ahead of Observe acquisition

Snowflake Inc. (NYSE: SNOW) announced that board director Jeremy Burton will resign from his position effective January 30, 2026, in connection with the company's acquisition of Observe Inc.

Burton, who serves as a Class III director and member of the Cybersecurity Committee, submitted his resignation notice on January 28, 2026. The resignation relates to Snowflake's planned acquisition of Observe, scheduled to close February 2, 2026, where Burton currently serves as chief executive officer and board member.

The company stated that Burton's resignation was not due to any disagreement with Snowflake or its board regarding operations, policies, or practices. Snowflake's acquisition of Observe received approval from a special committee of independent directors and the company's Audit Committee.

The resignation removes potential conflicts of interest that could arise from Burton's dual roles as both a Snowflake board member and CEO of the acquisition target. Burton's departure from the board will be effective two days before the transaction closes.
