Six Flags adds Jonathan Brudnick to board of directors

Six Flags Entertainment Corporation (NYSE: FUN) appointed Jonathan Brudnick, a partner at Sachem Head Capital, to its board of directors effective immediately, according to a company statement.



Brudnick will serve as a Class III director for the term ending in 2027 and as a member of the board's Nominating and Corporate Governance Committee. The appointment expands the Six Flags board from 12 to 13 directors, with 11 independent members.



The company previously announced that executive chairman Selim Bassoul and lead independent director Daniel J. Hanrahan will step down from the board effective December 31, 2025. Following their departures, the board will consist of 11 directors, 10 of whom will be independent.



In connection with Brudnick's appointment, Six Flags entered into a cooperation agreement with Sachem Head. Under the agreement, Sachem Head agreed to customary standstill, voting and confidentiality commitments. The company will file details of the cooperation agreement on Form 8-K with the Securities and Exchange Commission.



"Jonathan's appointment advances the Board's ongoing refreshment process and we are pleased to welcome him to the Board," Bassoul said in the statement.



Brudnick said he invested in Six Flags because of his belief in the business potential and that "numerous pathways exist to addressing the Company's current undervaluation."



Brudnick has served as a partner at Sachem Head since 2017. He previously worked at private equity and public market investment firms. He graduated from Emory University with a BBA in finance and earned an MBA from the Wharton School of the University of Pennsylvania.



Six Flags operates 27 amusement parks, 15 water parks and nine resort properties across 17 states in the U.S., Canada and Mexico.
