ProQR Therapeutics N.V. (NASDAQ: PRQR) announced that two board members will step down at the company's next annual general meeting when their terms conclude.
Dinko Valerio, a co-founder of the clinical-stage RNA therapy company, and Alison Lawton will rotate off the board. The Netherlands-based company said the changes reflect its development as it advances clinical programs and ongoing corporate governance practices.
ProQR has engaged an executive search firm to identify candidates for nomination to the board. The company said this process aims to support long-term value creation for stakeholders.
"On behalf of the Board, I would like to sincerely thank Dinko for his leadership, which has played a central role in shaping ProQR's vision and strategy, and Alison for her insight, dedication, and many valuable contributions to the Company during her tenure," said James Shannon, board chairperson.
Daniel A. de Boer, founder and chief executive officer, said both directors "brought meaningful perspective and presence to the Board."
The company stated that its board regularly reviews composition to maintain appropriate balance of skills, experience, and perspectives for strategic objectives. This process has resulted in two new board member appointments in the past three years.
ProQR develops RNA therapies using its Axiomer technology platform, which uses cellular editing machinery called ADAR to make single nucleotide edits in RNA. The company is advancing clinical programs for both rare and prevalent diseases.
The information was disclosed in a company press release.
