NOVAGOLD shareholders elect directors at virtual meeting

NOVAGOLD Resources Inc. (NYSE American: NG) held its annual general meeting of shareholders on May 14, 2026, with 74.45% of issued and outstanding shares represented. All seven proposals presented to shareholders received approval, including the election of all director nominees.
The company elected ten directors to its board: Dr. Elaine Dorward-King, Ali Erfan, Dr. Thomas Kaplan, Hume Kyle, Gregory Lang, Kalidas Madhavpeddi, Kevin McArthur, Daniel Muñiz-Quintanilla, Ethan Schutt, and Dawn Whitaker. Vote support ranged from 88.81% to 99.53% across the nominees.
Shareholders approved the appointment of PricewaterhouseCoopers LLP as auditors with 97.06% support. Three compensation-related proposals also passed: amendments to the Stock Award Plan received 86.18% approval, the Performance Share Unit Plan garnered 89.47% support, and the Deferred Share Unit Plan obtained 90.86% backing.
The advisory vote on executive compensation passed with 72.30% approval, while shareholders voted 99.47% in favor of conducting annual say-on-pay votes going forward.
During the 2026 proxy season, NOVAGOLD contacted shareholders holding approximately 96% of voting shares, including direct calls to those owning at least 45,000 shares and digital messages to holders of 5,000 or more shares. The company plans to conduct post-proxy outreach in the fall to gather additional shareholder input on governance and compensation practices.
A total of 326,713,666 shares were represented at the virtual meeting, according to the company's statement.
