HPE reports cooperation agreement with Elliott

Hewlett Packard Enterprise Co. (NYSE: HPE) appointed Robert Calderoni as a director effective July 16, 2025, and formed a new Strategy Committee as part of a cooperation agreement with Elliott Investment Management L.P.

Calderoni, currently Chairman of KLA Corp., will chair the newly formed Strategy Committee, which will assess HPE's business strategies and identify value creation opportunities. The committee will also include directors Gary Reiner, Raymond Lane, and Charles Noski.

The appointment follows HPE's recent acquisition of Juniper Networks. Calderoni will join HPE's Integration Committee, which was established after the Juniper transaction closed.

Pat Russo, Chair of the HPE Board, said Calderoni's experience will be valuable as the company integrates the Juniper Networks acquisition. Calderoni previously served as Executive Chairman and interim CEO of Citrix Systems, CEO of Ariba, and President of SAP's Cloud business.

The cooperation agreement with Elliott includes information-sharing provisions and gives Elliott the ability to appoint a representative to the board before the standstill period expires. Elliott Partner Jason Genrich said the firm believes the new Strategy Committee will help identify operational and strategic opportunities.

Calderoni has more than 30 years of technology leadership experience and currently serves on the boards of KLA Corporation and Ansys Inc. He previously served on the boards of Citrix Systems, Juniper Networks, and LogMeIn.

HPE will file the full cooperation agreement with Elliott on Form 8-K with the Securities and Exchange Commission, according to the press release.
