Circle Internet Group board member David Orfao resigns

Circle Internet Group Inc. (NYSE: CRCL) announced that David Orfao resigned from its board of directors on September 17, 2025, effective immediately.

The company stated that Orfao's resignation was not due to any disagreement with Circle regarding operations, policies or practices.

Following Orfao's departure, the board reduced its size from nine directors to eight directors, effective immediately after the resignation took effect. The reduction was made in accordance with the company's amended and restated certificate of incorporation and bylaws.

The information was disclosed in a company statement.
