Centuri Holdings, Inc. (NYSE: CTRI) appointed Dustin DeMaria, a Senior Analyst at Icahn Enterprises L.P. and Icahn Capital LP, to its Board of Directors effective immediately, the utility infrastructure services company announced.
The appointment follows a Director Appointment and Nomination Agreement with Icahn Enterprises. DeMaria will serve as an independent director and stand for election at Centuri's 2026 Annual Meeting of Shareholders, where the company will include him on its recommended slate of nominees.
The addition expands Centuri's board to eight members, six of whom are independent, including the Board Chair. Under the agreement, Icahn Enterprises agreed to customary standstill provisions, voting commitments and other terms that will be filed with the Securities and Exchange Commission on Form 8-K.
DeMaria joined Icahn Enterprises in 2022 and previously served as a Director at Zipari, a Thoma Bravo portfolio company, and as an investment banking associate at Moelis & Company. He currently serves as a director of CVR Energy, Inc. since March 2024 and Viskase Companies, Inc. since March 2023, both companies indirectly controlled by Carl C. Icahn.
"We have enjoyed a constructive relationship with IEP since Centuri's entrance into the public market last year," said Chris Krummel, Chair of the Centuri Board of Directors.
IEP Chairman Carl C. Icahn stated the appointment represents "an exciting moment for Centuri as it capitalizes on the unprecedented demand for power infrastructure across North America."
Centuri provides utility infrastructure services to regulated utilities across the United States and Canada. The company went public in 2024.
