AppFolio board sees departures and new appointments

AppFolio, Inc. (NASDAQ: APPF) announced changes to its board of directors, effective June 29, 2026, including the retirement of two longtime members and the election of two new directors.
Andreas von Blottnitz, who had served as a director since 2007 and as Chairman of the Board, and Janet Kerr, a director since 2015, retired from the board. The company stated that neither retirement was due to any disagreement with the company or its operations, policies, or practices.
The board elected Diya Jolly and Michael Yang as Class I Directors to fill the vacancies. Both were determined to qualify as independent directors under applicable Nasdaq and SEC rules. They will serve until the 2028 Annual Meeting of Stockholders.
Jolly currently serves as Chief Product and Technology Officer at Xero Limited (ASX: XRO). She previously held the role of Chief Product Officer at Okta, Inc. (NASDAQ: OKTA) and spent more than seven years in product leadership at Google, a subsidiary of Alphabet Inc. (NASDAQ: GOOGL).
Yang is a Partner at Investment Group of Santa Barbara and has served as Founder and CEO of Toro TMS since December 2020. He previously held roles at McKinsey & Company, U.S. Steel, and Tiger Management.
Shane Trigg, the company's President and CEO, was appointed Chairman of the Board, succeeding von Blottnitz. The board also established a Lead Independent Director position, appointing Winifred Webb to the role.
The company also updated its non-employee director compensation program. Annual equity awards will increase from $150,000 to $200,000 in grant date fair market value, while the annual retainer for committee chairs will decrease from $50,000 to $40,000. The Lead Independent Director will receive an additional $40,000 annual cash retainer. Trigg will not receive separate compensation for his role as Chairman.
