XCF Global and DevvStream delay shareholder votes on merger

XCF Global, Inc. (Nasdaq: SAFX) and DevvStream Corp. (Nasdaq: DEVS) have postponed special shareholder meetings that were scheduled for September 10, 2026, in connection with their proposed business combination with Southern Energy Renewables Inc.

According to a press release, the meetings were delayed to allow additional time to complete preparations. The XCF Global special meeting has been rescheduled to September 24, 2026, at 11:00 a.m. Eastern Time. The DevvStream special meeting is now set for September 17, 2026, at 10:00 a.m. Eastern Time. Both meetings will be held virtually.

The record date for voting eligibility remains the close of business on July 29, 2026. Shareholders who have already submitted proxies do not need to resubmit unless they wish to change or revoke their vote.

The three-way business combination was agreed upon under a Business Combination Agreement dated April 13, 2026. XCF Global filed a registration statement on Form S-4 with the Securities and Exchange Commission, which was declared effective on July 31, 2026. The definitive joint proxy statement and prospectus was mailed to shareholders on or about August 7, 2026.

The boards of directors of both XCF Global and DevvStream have each unanimously recommended that their respective shareholders vote in favor of the proposals outlined in the joint proxy statement.
