White Gold completes $23 million private placement financing

White Gold Corp. (TSX.V: WGO, OTCQX: WHGOF, FRA: 29W) announced the completion of its private placement offering that raised approximately $23 million in gross proceeds, according to a company statement.

The financing consisted of three components: 9,411,710 units priced at $0.85 each, 8,547,000 premium flow-through units at $1.17 per unit, and 5,000,000 flow-through shares at $1.00 per share. Each unit includes one common share and half of a warrant, with warrants exercisable at $1.15 for 24 months.

Clarus Securities Inc. served as sole bookrunner and lead agent, with Canaccord Genuity Corp., SCP Resource Finance LP and ATB Securities Inc. participating as syndicate members. The agents received a 6% commission on gross proceeds, excluding sales to Agnico Eagle Mines Limited (TSX: AEM, NYSE: AEM).

Agnico Eagle exercised its participation rights under an existing investor agreement. Other insider participants included PowerOne Capital Corp., CEO David D'Onofrio, and VP Exploration Dylan Langille.

The company plans to use flow-through proceeds for exploration expenditures on its White Gold District properties in Yukon Territory by December 31, 2026. Regular unit proceeds will fund working capital and general corporate expenses.

White Gold owns 15,364 quartz claims across 21 properties covering 305,102 hectares in Yukon's White Gold district. The company's flagship project contains an estimated 1,732,300 ounces of gold in indicated resources and 1,265,900 ounces in inferred resources, based on an October 6, 2025 resource estimate.

The securities are subject to a four-month hold period under Canadian securities laws. The transaction was completed October 15, 2025.
