Viper Energy prices $1.6 billion senior notes offering

Viper Energy, Inc. (NASDAQ: VNOM) announced that its operating company, Viper Energy Partners LLC, has priced a $1.6 billion senior notes offering consisting of two tranches.
The offering includes $500 million in aggregate principal amount of 4.900% senior notes maturing August 1, 2030, priced at 99.902% of principal amount, and $1.1 billion in aggregate principal amount of 5.700% senior notes maturing August 1, 2035, priced at 99.636% of principal amount.
The notes offering is expected to close on July 23, 2025, subject to customary closing conditions.
The operating company plans to use net proceeds for general corporate purposes, including redeeming Viper Energy's 7.375% senior notes due 2031 and 5.375% senior notes due 2027. If Viper Energy's previously announced acquisition of Sitio Royalties Corp. closes, proceeds will also be used to redeem Sitio's 7.875% senior notes due 2028 and repay borrowings under its revolving credit facility in connection with its termination.
The notes will be sold through a registered offering pursuant to an effective shelf registration statement on Form S-3ASR filed with the U.S. Securities and Exchange Commission.
Goldman Sachs & Co. LLC, Barclays Capital Inc., BofA Securities, Inc. and Wells Fargo Securities, LLC serve as joint book-running managers for the offering.
