Venu Holding secures $150M in C-PACE financing for two amphitheaters

Venu Holding Corporation (NYSE American: VENU) announced that CBRE Group Inc. (NYSE: CBRE) has identified more than $150 million in gross proceeds through Commercial Property Assessed Clean Energy (C-PACE) financing to fund the completion of two amphitheater projects.
The financing is expected to cover the remaining construction costs for Regent Bank Amphitheater in Broken Arrow, Oklahoma, which is targeted to open in fall 2026, and Sunset Amphitheater in McKinney, Texas, which is expected to open in the first quarter of 2027. The deal is anticipated to close in the coming weeks, subject to customary closing conditions.
C-PACE is a long-term, fixed-rate financing structure secured through a property tax assessment tied to qualifying building improvements. According to the company, the arrangement provides capital without the issuance of equity.
"This is the value of building free and clear," said J.W. Roth, Founder, Chairman, and CEO of Venu Holding. "Because our buildings and properties are owned, not leveraged, institutional capital wants a stake in what we're building."
CBRE Capital Markets' Debt & Structured Finance arranged the financing, with Jeff Black representing the transaction on CBRE's behalf.
According to a press release, Venu Holding's financing model combines pre-sales of ownership programs with public-private partnerships and structured financing to fund its amphitheater portfolio.
