Spirit AeroSystems faces class action lawsuit over disclosure claims

Spirit AeroSystems Holdings Inc. (NYSE: SPR) disclosed that a stockholder filed a class action lawsuit against the company and its directors in Delaware Court of Chancery on January 9, 2025.

The lawsuit alleges that Spirit AeroSystems' directors breached their fiduciary duties by failing to disclose certain information. The plaintiff seeks an order compelling additional disclosures and damages.

On August 15, 2025, the plaintiff's counsel filed a motion for attorneys' fees and expenses, claiming they provided benefits to the company and its stockholders in connection with the case. The Delaware Court of Chancery scheduled a hearing on this fee application for December 10, 2025, at 11 a.m. ET.

The Delaware Court of Chancery entered a stipulation on September 23, 2025, under which the plaintiff voluntarily dismissed the lawsuit with prejudice for the named plaintiff only, while keeping it open for other potential class members. The court retained jurisdiction solely for the fee application.

On November 13, 2025, the Delaware Court of Chancery approved the required notice form regarding stockholders' rights concerning the lawsuit and fee application.
