Sonoro Gold completes oversubscribed CAD$4.1 million private placement

Sonoro Gold Corp. (TSXV: SGO) closed an oversubscribed private placement raising CAD$4.1 million through the sale of 20.5 million units at CAD$0.20 per unit, according to a company statement.



Each unit consists of one common share and one warrant that allows the holder to purchase an additional share at CAD$0.28 within three years of the closing date. The company paid CAD$10,500 in finder's fees and issued 52,500 finder's warrants exercisable at CAD$0.28 for three years.



Company insiders participated by purchasing 2,007,297 units for gross proceeds of CAD$401,459.40, constituting a related party transaction under TSX Venture Exchange policies. All securities issued are subject to a four-month and one-day hold period ending February 23, 2026.



The Vancouver-based company plans to use the proceeds primarily to fund development of its Cerro Caliche gold project in Sonora, Mexico, including commissioning an updated preliminary economic assessment and completing the final payment under the Rosario option agreement to secure 100% ownership of the mining concessions.



Additional funds will be allocated for the Change of Land Use payment required for mining operations in Mexico and the proposed spin-off of the San Marcial gold-silver project into wholly owned subsidiary Oronos Gold Corp.



The offering received conditional acceptance from the TSX Venture Exchange and remains subject to final exchange approval. Sonoro Gold holds development-stage and exploration-stage projects in Sonora State, Mexico.
