Honeywell board approves Solstice Advanced Materials spin-off

Honeywell (NASDAQ: HON) announced that its board of directors has approved the planned spin-off of Solstice Advanced Materials, with the distribution scheduled for October 30, 2025.
At 12:01 a.m. Eastern Time on October 30, Honeywell will distribute all outstanding shares of Solstice common stock to Honeywell shareholders of record as of October 17, 2025. The distribution will occur on a one-for-four basis, with shareholders receiving one share of Solstice for every four shares of Honeywell held.
Solstice common stock is expected to begin trading on the Nasdaq Stock Market under the ticker symbol "SOLSV" on a when-issued basis around October 20, 2025. Regular-way trading under the ticker symbol "SOLS" is expected to commence on October 30, 2025.
"Today's announcement clears the path to establishing Solstice as an independent, industry-leading advanced materials company, and importantly, reflects the continued successful execution of Honeywell's transformation," said Vimal Kapur, Chairman and CEO of Honeywell.
During the period from October 20 through October 29, 2025, Honeywell common stock will trade in two markets on Nasdaq. Regular-way trading will continue under the current "HON" ticker symbol with rights to receive Solstice shares, while ex-distribution trading will occur under the ticker symbol "HONIV" without those rights.
Solstice operates as a specialty materials company with positions in refrigerants, semiconductor materials, data center cooling, alternative energy, protective fibers, and healthcare packaging solutions. The company serves over 3,000 customers across more than 120 countries and maintains a portfolio of over 5,700 patents with approximately 4,000 employees worldwide.
The distribution remains subject to satisfaction or waiver of certain conditions outlined in the Separation and Distribution Agreement filed with the Securities and Exchange Commission.
