Eightco Holdings changes ticker symbol to ORBS on Nasdaq

Eightco Holdings Inc. changed its Nasdaq ticker symbol to "ORBS" effective September 11, 2025, according to a company statement. The change follows the completion of a $270 million private placement to implement what the company describes as a Worldcoin treasury strategy.
The private placement was led by MOZAYYX with participation from institutional investors including World Foundation, Discovery Capital Management, Pantera, and others. BitMine Immersion Technologies (NYSE AMERICAN: BMNR) made a $20 million investment in the transaction.
Dan Ives, a technology analyst, has been appointed Chairman of the Board. "Changing our ticker to ORBS marks a defining moment for Eightco, signaling our commitment to leading the Proof of Human revolution," Ives said in the statement.
The company operates what it calls a Worldcoin treasury strategy and focuses on iris-scanning technology called Orbs. The technology is designed to verify human identity without storing personal data on blockchain systems, according to the company.
RF Lafferty & Co. served as the exclusive placement agent for the private placement. Cantor Fitzgerald & Co. advised the lead investor MOZAYYX, while Moelis & Company advised BitMine Immersion Technologies.
The ticker symbol change does not affect the rights of existing shareholders, and no shareholder action is required. The company's common stock continues to trade on Nasdaq under the new symbol.
The securities in the private placement were sold under exemptions from Securities Act registration requirements. The company has agreed to file a registration statement with the Securities and Exchange Commission for the resale of shares issued in connection with the offering.
