Diginex completes €55 million acquisition of PlanA.earth
Diginex Limited (NASDAQ: DGNX) announced the completion of its acquisition of PlanA.earth GmbH, a carbon accounting and decarbonization platform, according to a company statement.
The transaction, valued at approximately €55 million, consisted of €3 million in cash and 6,720,317 ordinary shares valued at approximately €52 million. Diginex acquired 100% of Plan A's equity under the agreement.
The acquisition was originally announced on December 2, 2025, following the signing of a memorandum of understanding. The transaction closed after satisfaction of customary closing conditions.
Plan A operates an AI-powered platform for carbon accounting and decarbonization services. The company's client base includes BMW, Deutsche Bank, and Visa, according to the statement.
Diginex provides ESG reporting software covering 19 global frameworks and operates from London. The company's platform supports various sustainability standards including GRI, SASB, and TCFD.
"The closing of the Plan A acquisition marks a pivotal milestone for Diginex as we build the most advanced, user-friendly sustainability platform available today," said Miles Pelham, Chairman of Diginex.
Lubomila Jordanova, founder of Plan A, stated that joining with Diginex "represents a definitive shift for our industry."
The company noted it continues discussions with debt financing providers regarding its proposed acquisition of Resulticks Global Companies Pte Limited. Diginex stated there can be no assurance the parties will execute the definitive transaction agreement or close the proposed transaction.
