DataMeds AI, Inc. (NASDAQ: MEDS) and Datavault AI Inc. (NASDAQ: DVLT) announced an amendment to their existing definitive agreement, expanding a blockchain technology licensing relationship to cover all commercial healthcare, healthspan, and wellness applications of Datavault AI's intellectual property.
The original agreement was limited to pharmaceutical distribution. Under the expanded terms, Datavault AI's data monetization and real-world asset tokenization technologies will be integrated into DataMeds AI's EinsteinRx platform, covering pharmacy, medical, laboratory, and wearables data environments.
The companies said the amended agreement was executed ahead of the completion of remaining closing conditions to allow for the launch of the Health Lives Here app to NFL Alumni Health members at the 2026 Pro Football Hall of Fame Game in Canton, Ohio on August 6, 2026.
Under the amended terms, Datavault AI will receive common shares representing approximately 19.9% of DataMeds AI common stock upon closing of related transactions involving Scilex Holding Company, EOS Technology Holdings, Inc., and HealthBridge Advisors, LLC. The structure was changed from preferred shares to common shares for tax purposes. The share issuance remains subject to closing conditions, including the acquisition of two QOLPOM intellectual property portfolios from EOS Technology Holdings and a controlling interest in Tollo Health LLC.
The QOLPOM patent portfolio was developed at La Frontera Arizona and covers medical and pharmaceutical logistics, IoT population health, and remote patient monitoring with AI-driven behavioral health insights.
DataMeds AI, formerly Wellgistics Health, Inc., completed its name change on July 21, 2026, and began trading under the ticker symbol MEDS on the Nasdaq Capital Market on July 22, 2026. The company also announced a dividend of 50 Dream Bowl Meme Coin tokens per share of common stock for shareholders of record as of August 7, 2026, subject to change at the company's discretion.
Gerald Commissiong, Interim Co-CEO of DataMeds AI, said the arrangement is intended to "transform data into a strategic asset" for future customers. Nathaniel T. Bradley, CEO of Datavault AI, described the expansion into commercial healthcare as "a natural next step for patient-controlled data."
