CVR Energy appoints Mark Pytosh as CEO effective January 1

CVR Energy Inc. (NYSE: CVI) appointed Mark A. Pytosh as President and Chief Executive Officer effective January 1, 2026, according to a December 23 board decision. Pytosh will succeed David L. Lamp, who will cease serving as President and CEO on December 31, 2025.
Pytosh, 60, has served as the company's Executive Vice President of Corporate Services since January 2018. He has been a board member of CVR Partners, LP (NYSE: UAN) since 2011 and President and CEO of CVR Partners' general partner since 2014. Pytosh will continue these roles at CVR Partners alongside his new position at CVR Energy.
The company's board increased its size from nine to ten directors and appointed Pytosh to fill the newly created position, also effective January 1, 2026. Pytosh will not receive compensation for board service while employed by the company.
Pytosh's compensation as President and CEO will be governed by an employment agreement dated July 28, 2025, which was previously disclosed in the company's quarterly report filed with the Securities and Exchange Commission on July 31, 2025.
CVR Energy stated it is not aware of any transactions involving Pytosh that would require disclosure under securities regulations, and no arrangements exist between Pytosh and other parties related to his selection. The company confirmed no family relationships exist between Pytosh and other directors or executive officers.
