BriaCell completes $30 million public offering of units
BriaCell Therapeutics Corp. (NASDAQ: BCTX, BCTXL) (TSX: BCT) completed its public offering of 5,366,726 units at $5.59 per unit, generating gross proceeds of approximately $30 million before fees and expenses, according to a company statement.
Each unit consists of one common share or pre-funded warrant and one warrant. The warrants began trading on the Nasdaq Capital Market under the symbol "BCTXL" on January 14, 2026. Each warrant allows the holder to purchase one common share at $6.93 per share and expires five years from issuance.
The Philadelphia-based clinical-stage biotechnology company plans to use net proceeds for working capital requirements, general corporate purposes and advancing business objectives. ThinkEquity served as the sole placement agent for the offering.
The Securities and Exchange Commission declared the company's registration statement on Form S-1 effective on January 13, 2026. The filing was originally submitted on December 23, 2025.
BriaCell develops immunotherapies for cancer treatment. The company relied on Section 602.1 of the TSX Company Manual exemption for the transaction, which applies to eligible interlisted issuers on recognized exchanges such as Nasdaq.
