Axe Compute sells cancer diagnostics unit to DataMEDS in all-stock deal

Axe Compute Inc. (NASDAQ: AGPU) has sold its Helomics Corporation subsidiary to DataMEDS AI, Inc. (NASDAQ: MEDS) in an all-stock transaction, according to a press release issued Sept. 15, 2026.

Under the terms of the agreement, Axe Compute received common shares and common share equivalents of DataMEDS in exchange for Helomics, a Pittsburgh-based oncology platform that applies artificial intelligence to tumor data to support drug discovery and cancer treatment decisions.

Helomics was the final remaining business from Axe Compute's prior identity as Predictive Oncology Inc., before the company changed its name in December 2025. The sale completes Axe Compute's transition to a GPU-as-a-Service business model.

"This transaction is the final chapter of Axe Compute's transformation into a focused, pure-play neocloud GPU-as-a-Service company," said Christopher Miglino, Chief Executive Officer of Axe Compute. "Rather than simply exiting the business, we are becoming an investor in DataMEDS."

Gerald Commissiong, Interim Co-CEO of DataMEDS, said the transaction moves the company into the oncology field, where it plans to apply its data-driven approach to healthcare.

DataMEDS AI, formerly known as Wellgistics Health, Inc., is a Health IT company headquartered in Tampa, Florida. It operates the EinsteinRx artificial intelligence platform and the PharmacyChain blockchain-enabled smart contracts platform.

Axe Compute said it plans to file a Current Report on Form 8-K with the U.S. Securities and Exchange Commission providing further details about the transaction.
