Auddia's S-4 registration cleared by SEC, merger vote pending

Auddia Inc. (NASDAQ: AUUD) announced that the U.S. Securities and Exchange Commission has declared effective the company's Form S-4 Registration Statement related to its proposed merger with Thramann Holdings, according to a press release.
With the S-4 effective, Auddia plans to file a definitive proxy statement, distribute it to shareholders, announce a shareholder meeting date, hold a vote, and proceed to closing, subject to shareholder approval and other conditions.
"This milestone clears the path for the proxy filing and shareholder vote," said Jeff Thramann, CEO of Auddia.
Auddia entered into the definitive merger agreement with Thramann Holdings on February 17, 2026. Thramann Holdings is a single-member Colorado LLC that fully owns three early-stage companies: LT350, Influence Healthcare, and Voyex. Upon completion of the merger, Auddia would change its name to McCarthy Finney and trade under the ticker symbol MCFN on Nasdaq.
LT350 is described as a distributed AI datacenter company. Influence Healthcare is a health-tech company. Voyex is a travel services platform. Under the combined entity, those three companies along with Auddia would operate as portfolio companies of McCarthy Finney, which the company describes as an AI holding company.
