Auddia receives SEC comments on merger filing, expects July closing

Auddia Inc. (NASDAQ: AUUD) received an initial comment letter from the Securities and Exchange Commission regarding its Form S-4 registration statement filed May 14 for its proposed merger with McCarthy Finney Inc.

The Boulder, Colorado-based AI technology company plans to file an amended S-4 addressing all SEC comments early next week and expects the registration statement to proceed through the normal review cycle.

"We are pleased with the progress of the S-4 process and are now able to provide more clarity on the expected closing timeline," said Jeff Thramann, CEO of Auddia.

The company anticipates the merger will close in July, subject to SEC clearance, Nasdaq approval, and an affirmative shareholder vote.

Under the merger agreement signed February 17, Auddia will combine with Thramann Holdings LLC, which owns three AI-focused operating companies: LT350, Influence Healthcare, and Voyex. Upon completion, Auddia will change its name to McCarthy Finney and trade under ticker MCFN.

LT350 operates as a distributed AI data center company with patents on solar parking lot canopy infrastructure. Influence Healthcare focuses on AI-driven healthcare technology for surgical specialties. Voyex provides travel services using AI and charter aircraft.

The merged entity will operate as an AI holding company serving four portfolio companies, including the existing Auddia audio identification platform.
