Auddia adjourns stockholder vote on Thramann Holdings merger

Auddia Inc. (NASDAQ: AUUD) adjourned its Special Meeting of Stockholders on Sept. 23, 2026, rescheduling it to Oct. 7, 2026, at 11:30 a.m. Eastern Time to allow additional time for stockholders to submit their votes on a proposed merger with Thramann Holdings.
According to a company statement, approximately 88% of votes cast to date on the merger proposal have been in favor of the transaction. The company said the adjournment is procedural and is not the result of opposition to the merger. The meeting has not reached the required threshold because a majority of all outstanding shares must be voted in favor, and not enough stockholders have participated yet.
"We are encouraged that approximately 88% of the shares voted to date on the merger are in support of the transaction," said Jeff Thramann, Chief Executive Officer of Auddia. "With voting activity ongoing, we are confident that continued stockholder participation can move us closer to the required threshold."
Auddia entered into a definitive merger agreement with Thramann Holdings, LLC on Feb. 17, 2026. If completed, the transaction would combine Auddia with three companies wholly owned by Thramann Holdings: LT350, Influence Healthcare, and Voyex. The combined company would be renamed McCarthy Finney Inc. and is expected to trade on Nasdaq under the ticker MCFN, subject to applicable approvals and listing requirements.
Stockholders of record as of Aug. 3, 2026, are eligible to vote at the meeting, which will be held virtually.
