Ascot Resources plans name change to Cambria Gold Mines
Ascot Resources Ltd. (TSXV: AOT; OTCID: AOTVF) announced plans to change its name to Cambria Gold Mines Inc., subject to regulatory approval. The company said the new ticker symbol will be "CAMB" and the name change will take effect at market opening on February 13, 2026.
The Vancouver-based mining company completed its restructuring after raising C$175 million through a private placement that closed on January 27, 2026. The company settled secured and unsecured creditors and restructured existing debt as part of the process.
Ascot received approval from the TSX Venture Exchange to reactivate its listing and transfer from the NEX Board to the main TSXV. Trading resumed under the symbol "AOT."
The company outlined its 2026 work program focused on the Premier and Red Mountain projects in British Columbia. Key elements include construction of a Red Mountain access road this spring, infill drilling at the Premier-Northern Lights deposit starting in March 2026, and advancing exploration permits for Red Mountain.
Red Mountain contains measured and indicated resources of 3.19 million tonnes averaging 7.63 grams per tonne gold for 783,000 ounces, according to the company. The deposit would provide majority mill feed for the Premier Gold Project's 2,500 tonne per day mill.
Ascot amended its agreement with Sprott Private Resource Streaming and Royalty Corp., extending the 50% buydown window by two years from December 2026 to December 2028. In exchange for waiving approximately US$400,000 in missed deliveries and royalty payments, Ascot will issue 901,000 common shares at C$0.60 per share and 450,500 warrants with an exercise price of C$0.85.
The company will pay advisory fees to Fiore Management and Advisory Corp. of 23.02 million common shares, 8.24 million warrants at C$0.85, and transfer of the first two monthly stream payments from Sprott following commercial production.
