AmpliTech Group files prospectus for 2025 unit rights offering

AmpliTech Group Inc. (NASDAQ: AMPG) filed a free writing prospectus with the Securities and Exchange Commission detailing its 2025 unit rights offering, the company announced November 3.

The Hauppauge, New York-based designer and manufacturer of signal-processing components for satellite and 5G communications networks said the prospectus provides additional information about the rights offering and describes its position in the 5G Open RAN market.

AmpliTech reported it has secured letters of intent totaling over $118 million with mobile network operators in Asia and North America, with some contracts already converted to funded purchase orders. The company said $78 million in letters of intent are scheduled for delivery across fiscal years 2026 and 2027.

The company reported second quarter 2025 unaudited revenue approaching $11 million, with 75% derived from 5G ORAN products. Management expects gross margins to return to double digits within six months, according to the press release.

AmpliTech said proceeds from the rights offering will strengthen its balance sheet to execute on the letters of intent and support working capital needs including research and development, patent portfolio development, and sales force expansion.

The company operates five divisions focusing on radio frequency microwave components and 5G network solutions for markets including satellite communications, telecommunications, defense, and quantum computing.
