Alset AI Ventures Inc. (TSXV: GPUS)(OTCQB: GPUSF) announced a non-brokered private placement offering of between 3,250,000 and 4,000,000 units at $0.20 per unit, targeting gross proceeds of between $650,000 and $800,000.

Each unit consists of one common share and one-half of one common share purchase warrant. Each whole warrant entitles the holder to acquire one common share at $0.30 per share for 24 months from the closing date.

The company said it intends to use the net proceeds to provide follow-on funding to existing portfolio companies, fund corporate operations and portfolio oversight, pursue new investments, and maintain a working capital reserve.

The offering is expected to close on or about November 23, 2026, and may close in one or more tranches. The company will not complete the first closing unless the minimum offering of $650,000 has been subscribed for. The final closing will occur no later than 45 days after the issuance of the announcement.

Alset AI may pay eligible finders cash fees of up to 7.0% of gross proceeds from units sold to purchasers they introduce, subject to applicable securities laws and TSX Venture Exchange approval.

The offering is subject to regulatory approval, including from the TSX Venture Exchange. The units will be offered to purchasers resident in Canada, except Québec, and other qualifying jurisdictions. The securities will not be registered under the U.S. Securities Act of 1933.
