ALT5 Sigma receives NASDAQ notice for late quarterly filing

ALT5 Sigma Corporation (NASDAQ: ALTS) received a notification from Nasdaq indicating non-compliance with listing requirements due to its delayed filing of the Form 10-Q for the period ended September 27, 2025.

The company filed a Notification of Late Filing on Form 12b-25 with the Securities and Exchange Commission on November 12, 2025, to allow additional time to complete its accounting and internal control processes.

Under Nasdaq Listing Rule 5250(c)(1), companies must file all required periodic reports on time to maintain listing status. The notification does not immediately affect the trading of ALT5 Sigma's shares on Nasdaq, though an indicator reflecting the non-compliance has been posted on Nasdaq's market data network.

ALT5 Sigma has until January 20, 2026, to submit a compliance plan to Nasdaq. If accepted, the company may receive an extension of up to 180 calendar days from the Form 10-Q's original due date, or until May 18, 2026, to regain compliance.

Nasdaq will evaluate several factors during its review, including the company's compliance history, reasons for the late filing, likelihood of completing required filings within the extension period, financial condition, and relevant corporate developments. Any subsequent periodic filings due within the potential extension period must also be completed by the extension deadline.

The Las Vegas-based fintech company, founded in 2018, operates with a digital asset treasury strategy and has processed over $5 billion in cryptocurrency transactions according to the company's statement.
